CRESSWIND PERFORMING ARTS CLUB BY-LAWS

ARTICLE I – NAME
The name of this organization shall be Cresswind Performing Arts Club (CPAC).
ARTICLE II – PURPOSE
Section I. SCOPE: includes all areas of performing arts, and serves as the umbrella organization encompassing
clubs, groups and events associated with performing arts.
Section 2. GOALS:
a. Produce high quality performing arts events.
b. Encourage the creation and development of new performing arts groups.
c. Enable members to utilize the CPAC web site, coordinate yearly calendar, and share resources
common to performing arts, et. al.
d. HAVE FUN!
ARTICLE III - MEMBERSHIP
Membership shall be comprised of all Cresswind at Lake Lanier residents who are current with their HOA dues, and who actively participate in at least one CPAC event within 12 months prior to any general
election.
ARTICLE IV - OFFICERS AND THEIR DUTIES
Section 1. The officers of the Performing Arts Club shall be President, Vice-President, Secretary, Treasurer,
and 5 At-Large Board Members.
Section 2. OFFICER ELECTIONS
a. Officers shall be elected for a three-year term, staggering three expiring terms each year.
b. All nine officers will determine official roles post-election.
c. Board Members may run for another term one year after their expired term.
Section 3. The President shall preside at all meetings and perform all duties of the office.
Section 4. The Vice-President shall perform the duties of the President in the absence of the President, and all duties
of the office.
Section 5. The Secretary shall take minutes of the meetings and perform other duties of the office.
Section 6. The Treasurer shall collect and disburse monies, maintain records of receipts/disbursements/running totals, and perform other duties of the office.
Section 7. The At-Large Board Members shall perform the duties as assigned.
Section 8. The Club Officers may appoint non-voting Consultants to meet with the Board as deemed appropriate.
Section 9. In the event of an officer vacancy before term expiration, the Board will select a replacement to serve until
the next voting session, at which time any remaining term year(s) will be filled via the annual nominating
and voting process.
ARTICLE V - FINANCIAL
Section 1. Manages general funds.
Section 2. Ensures Theatre, Chorus, and other performing groups as approved by the Board, to have autonomy and decision-making authority for artistic direction, sub-groups, and associated revenue and costs.
Section 3. Coordinates and supports expenditures for shared equipment as required.
ARTICLE VI - NOMINATIONS AND ELECTIONS
Section 1. NOMINATIONS
a. A Nominating Committee will be appointed by the board and will be comprised of three members.
b. One who wishes to run for office may not be a member of the Nominating Committee.
c. The Nominating Committee will create a recommended slate of open officers.
Section 2. ELECTIONS
a. Elections will occur in July.
b. All CPAC members will be notified at least two weeks prior to the election meeting.
c. A majority of those present and voting shall constitute an election.
d. Officers will be elected to serve for the following year beginning September 1.
ARTICLE VII - MEETINGS
Section 1. The board shall hold periodic board meetings to manage the day to day operations of CPAC.
Section 2. CPAC shall hold an Annual Meeting during the month of September, and additional general full membership meetings as needed.
Section 3. General Full Membership meetings shall be announced with two-week’s notice.
Section 4. A quorum shall consist of at least ten members present at any announced full CPAC meeting.
ARTICLE VIII - DUES
Section 1. CPAC shall collect no membership dues.
Section 2. CPAC activities/events may collect fees, donations, etc.
ARTICLE IX - AMENDMENTS
Section 1. These by-laws may be amended at any regular or special meeting of the CPAC membership by a
two-thirds vote of those present and voting.
Section 2. The proposed amendments must be sent to each member in writing two weeks prior the special meeting.
ARTICLE X - PARLIAMENTARY AUTHORITY
Robert’s Rules of Order, Newly Revised, shall be the authority for the Cresswind Performing Arts Club.
